Affiliate Agreement

These terms govern participation in the Gaming Point affiliate program. By applying and being accepted as an affiliate you agree to be bound by this agreement. Gaming Point may amend these terms at any time by posting an updated version; continued promotion after changes constitutes acceptance.

1. Application and Appointment

Gaming Point evaluates every application at its sole discretion. Applicants may be asked for their list of domains and how they will be used, their operational focus, marketing methods, proof of identity and payment information.

Information is verified against WHOIS and may be checked by independent third parties. Applicants are notified of acceptance or rejection in a timely manner and consent to this verification.

2. Acceptance and Licence

On acceptance, the affiliate account is activated and a non exclusive, non transferable licence to operate under this agreement is granted.

Affiliates are restricted to one account. Player accounts opened on merchant brands are governed by each merchant's own rules, and Gaming Point accepts no liability for player activity on merchant websites.

3. Marketing Material and Intellectual Property

On activation, affiliates gain access to marketing material that may be used only to promote the merchants and the program. Material must not be altered or reproduced outside the merchant's specifications, and the merchant's decision on compliance is final.

All Gaming Point and merchant intellectual property remains their property. Affiliates obtain no rights beyond the licence granted, must not contest those rights, and must report any suspected infringement promptly.

Affiliates may create their own marketing material only with prior written approval and must not bid on merchant brand keywords or register confusingly similar domains.

4. Customer Tracking and Reporting

Affiliates are responsible for tagging all referred customers with their affiliate ID. Untagged customers generate no commission.

Gaming Point provides online access to activity and commission reports. The form, content and frequency of these reports are at Gaming Point's discretion, and the underlying figures are the exclusive reference for commission calculation.

5. Commission

Commission is payable only where referred customers open merchant accounts and wager, and only after Gaming Point has received payment from the merchant and is satisfied the affiliate is the beneficial owner of the funds.

Revenue share is based on referred casino customers per month: 0 to 10 referrals earn 25 percent, 11 to 40 earn 30 percent, 41 to 100 earn 35 percent, and 101 or more earn 40 percent. New affiliates earn a 50 percent welcome rate in their first month.

If no new active customers are referred for six months the rate reduces to 20 percent, and after twelve months to 10 percent, returning to 25 percent once a new active customer is referred. CPA and hybrid plans are available on request through your affiliate manager.

Commission is processed by the tenth working day of the following month. Bank wire payments require a minimum balance of 700 euros (or equivalent) and e wallet payments a minimum of 100 euros; balances below the threshold roll over.

6. High Roller Policy

Where a customer generates negative net revenue of at least 10,000 dollars in a month and an affiliate's aggregate net revenue for a brand that month is negative 2,000 dollars or more, that negative balance carries forward and offsets future revenue from the same high roller only.

7. Affiliate Warranties

Affiliates warrant that the information they provide is complete and honest, that they have authority to enter the agreement, and that their activities comply with all applicable laws.

Affiliates will not generate traffic in bad faith, will not market to residents of restricted territories, will use all technical measures to prevent such marketing, and will not promote on sites that target minors or vulnerable groups.

8. Good Faith and Prohibited Conduct

Affiliates must promote the merchant websites in good faith and in line with sound business ethics. Deceptive, misleading or offensive marketing is prohibited, as is any content that could damage the reputation of Gaming Point or the merchants.

Spam, fraudulent activity and unsolicited communications are strictly prohibited. Marketing communications require prior written consent and must include an opt out. Detected spam or fraud may result in account review, withholding of funds and immediate termination.

9. Legal Compliance

Affiliates must comply with all applicable laws, advertising codes and data protection rules, including the relevant gambling licence conditions and anti bribery and anti money laundering legislation.

Affiliates participate in responsible gambling, anti money laundering and anti bribery awareness training when requested, and keep complete records of their marketing activity during the term and for two years afterwards.

10. Anti Money Laundering

Affiliates must not benefit from or be party to money laundering or related illegal activity. Gaming Point may suspend or terminate membership, decline further payment and report affiliates to the authorities where it knows, believes or suspects such activity.

Affiliates provide identity and verification documentation on request, and Gaming Point may carry out independent verification at its discretion.

11. Confidential Information

All non public information relating to Gaming Point, the merchants or the program is confidential and must not be used or disclosed without prior written consent. These obligations survive termination, and confidential material is returned or destroyed within three months of termination.

12. Termination

Either party may terminate by written notice, with immediate effect where an affiliate fails to meet its obligations. On termination all rights and licences end and the affiliate must remove all references to Gaming Point and the merchants.

Where termination is for reasons other than the affiliate's breach, commission continues for one year on the same terms. Gaming Point may withhold the final payments for up to three months each to verify calculations.

13. Ownership of Customer Data

All information relating to referred customers is the exclusive property of the merchant. Data collected by Gaming Point may be transferred to and processed outside the European Economic Area.

14. Liability

Affiliates indemnify Gaming Point and the merchants against losses arising from any breach of this agreement or from their own acts or omissions.

Gaming Point gives no warranty that the program or tracking will be uninterrupted or error free and is not liable for indirect or consequential loss. Its total liability is limited to the commission paid or payable in the twelve months before the event giving rise to the claim.

15. Relationship of the Parties

Affiliates and Gaming Point are independent contractors. Nothing in this agreement creates a partnership, joint venture, agency or employment relationship, and affiliates have no authority to bind Gaming Point or the merchants.

16. Sale of Business and Death of Affiliate

An affiliate wishing to sell or transfer control of its affiliate business must give at least thirty days written notice, and any purchaser is subject to Gaming Point approval.

On the death of an affiliate, Gaming Point pays the estate or beneficiaries any accrued commission once it receives the death certificate, proof of authority to act and proof of the beneficiaries' identity.

17. General

This agreement is not exclusive and may not be assigned without prior written consent. If any provision is found invalid, the remainder continues in force, and no waiver is effective unless in writing.

Gaming Point may amend this agreement at any time by posting a new version on its site. It is the affiliate's responsibility to review the current version periodically.

18. Key Definitions

Affiliate: a person or entity registered and accepted into the program. Affiliate ID: the unique identifier used to track referred customers. Customer: a person directed by the affiliate who registers an account with a merchant.

Net Revenue: gross win less progressive contributions, bonuses, non cash items, fraud, game provider fees and applicable taxes or levies. Merchant: an online gaming operator for which Gaming Point provides affiliate services. Restricted Territories: the jurisdictions, listed in the full agreement, where promotion is not permitted.
